SIMTOOLS ADVERTISING AGREEMENT

This Advertising Agreement (the "Agreement") is entered into by and between SimTools ("Publisher") and the undersigned advertiser ("Advertiser").
1. Purpose & Revenue Reinvestment
Advertiser wishes to purchase digital advertising space within the SimTools software suite. Publisher agrees to host the Advertiser’s promotional materials in accordance with the terms of this Agreement.
Publisher is a community-focused software project. Advertiser acknowledges and agrees that 100% of the gross advertising revenue generated under this Agreement goes directly toward supporting the ongoing development, updates, maintenance, and monthly infrastructure costs of the SimTools suite.
2. User Donation Tiers & Ad-Free Options
Advertiser explicitly acknowledges and accepts that SimTools offers a donation or premium membership model for its community members.
Ad Disabling: Community members who choose to donate or subscribe to specific support tiers are granted the option to entirely disable advertisements within their local instance of the SimTools software.
Impact on Reach: While SimTools continues to grow and expand its general user base, paid advertisements will only be displayed to users on the standard, non-donating tier. No refunds or rate adjustments will be provided based on the volume of users who opt into an ad-free experience.
3 Fees and Payment
Rate: Advertiser agrees to pay a monthly fee of $2.99 USD.
Billing: The advertising fee is billed in advance on a recurring monthly basis.
Taxes: All fees are exclusive of any applicable local, state, or federal taxes, which shall be the responsibility of the Advertiser.
4. Term and Termination Term: This Agreement commences on the date of execution and will continue on a month-to-month basis.
Growth & Exposure: As the SimTools user base grows, the placement and exposure of the Advertiser's material will naturally scale within the application at no additional immediate increase to the locked monthly rate.
Termination: Either party may terminate this Agreement at any time by providing written notice at least five (5) days prior to the next scheduled billing cycle. No refunds will be issued for partial months.
5. Default Links Disclaimer
Advertiser acknowledges that SimTools displays up to ten (10) default informational placements/links within the software suite. These specific entries were chosen entirely at the Publisher's discretion because they host or provide various third-party tools utilized by the SimTools suite. These default entities have not entered into a commercial advertising agreement, did not pay a fee, and their presence does not impact or infringe upon the paid advertising space allocated to the Advertiser under this Agreement.
6. Content Restrictions & Licensing
Grant of License: Advertiser grants Publisher a non-exclusive, worldwide, royalty-free license to display, host, and reproduce Advertiser’s logos, text, and graphics solely for the purpose of fulfilling this Agreement.
Content Quality: Advertiser guarantees that all advertising assets comply with all applicable laws and do not infringe upon any third-party intellectual property rights. Publisher reserves the right to reject or remove any advertisement that is deemed harmful, malicious, or incompatible with the SimTools user experience.
7. Limitation of Liability
Publisher provides the advertising space within SimTools on an "as-is" and "as-available" basis. Publisher makes no specific guarantees regarding exact impression counts, click-through rates, or specific revenue outcomes for the Advertiser. In no event shall Publisher be liable for any indirect, incidental, or consequential damages arising out of software downtime or application updates.
8. Entire Agreement
This document constitutes the entire understanding between SimTools and the Advertiser regarding this advertising placement and supersedes any prior informal discussions or agreements.
